Terms of Service

By using Nudge, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not use the platform.
1. Definitions
"Nudge", "we", "us" refers to the Nudge platform and its operators. "You" or "customer" refers to the business or individual who creates a Nudge account. "End customer" refers to the people who message your WhatsApp number and interact with your AI assistant.
2. Acceptable use
You may use Nudge only for legitimate business purposes. You may not use Nudge to: send spam or unsolicited messages; harass, mislead, or defraud end customers; impersonate another business or individual; violate Meta's WhatsApp Business Messaging Policy; process data of users in jurisdictions where you are not lawfully permitted to do so.
3. Your responsibilities
You are responsible for: the accuracy of the business context and knowledge you provide to Nudge; ensuring your AI assistant's replies comply with applicable law; obtaining any necessary customer consents to process their WhatsApp messages; maintaining the security of your account credentials.
4. Service availability
We target 99.9% monthly uptime for the Nudge platform. We will provide at least 48 hours notice for planned maintenance. We are not liable for downtime caused by third-party services (Meta WhatsApp Cloud API, our LLM provider, etc.).
5. Billing and cancellation
Subscriptions are billed monthly or annually in advance. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months. We reserve the right to change pricing with 30 days notice.
6. Intellectual property
Nudge and its software, design, and branding remain the property of Nudge. Your business data, uploaded documents, and customer conversations remain your property. By using Nudge, you grant us a limited licence to process your data to operate the service.
7. Limitation of liability
Nudge is a software tool. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to: customer disputes arising from AI-generated replies; loss of revenue or business opportunity; data loss.
8. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. You may terminate your account at any time. On termination, access to the dashboard and AI assistant will cease; your data will be retained for 60 days before deletion.
9. Governing law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.
10. Changes
We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect via email. Continued use constitutes acceptance.
